Our Report: After months of speculation, OpenAI has finally revealed plans to become a for-profit company as it looks to evolve its corporate structure to make it easier to "raise more capital than we'd imagined," take away the restrictions imposed by its current nonprofit parent, and advance its mission of ensuring that Artificial General Intelligence (AGI) benefits all humanity.
🔑 Key Points:
OpenAI’s existing for-profit arm—controlled by its non-profit parent (with a “capped profit” share for investors)—will transition to a Public Benefit Corporation (PBC): A for-profit company operating in the interests of society.
This division will “run and control OpenAI’s operations and business,” while the nonprofit division will operate, under its own leadership team, to “pursue charitable initiatives in healthcare, education, and science.”
Under this new structure—which, according to OpenAI, is “a critical step” needed to continue fundraising—the nonprofit side will get shares in the PBC “at a fair valuation determined by independent advisors.”
🤔 Why you should care: OpenAI believes that establishing a PBC (which will align it with its rivals, Anthropic and Elon Musk’s xAI, who both operate as PBCs) will allow it to “raise the necessary capital” to build toward AGI, while also creating “one of the most-resourced non-profits in history,” but several tech companies and experts have taken umbrage over OpenAI’s nonprofit plans, with former OpenAI policy researcher, Miles Brundage, raising “serious concerns” about the lack of governance and any clear guardrails to “ensure that the nonprofit’s existence doesn’t (seem to) let the PBC off too easy,” and of course, who can forget Elon Musk’s well-publicized lawsuit against OpenAI for abandoning its original, nonprofit mission, which includes a recently filed injunction asking the courts to stop it from becoming a for-profit company, which Meta has publicy backed—believing it will have “seismic implications for Silicon Valley” if allowed to go ahead—along with others (see the next story for further developments on this).

Our Report: A nonprofit network of volunteers—called Encode—who are focused on AI safety, and have contributed to AI state and federal legislation, including the (vetoed) SB 1047, aimed at regulating AI, the AI Bill of Rights, and Joe Bidens AI EO, have asked for permission to file a brief to support Elon Musk’s injunction to block OpenAI’s transition from a nonprofit into a for-profit corporation (which they announced on Friday, see above story).
🔑 Key Points:
They argue that OpenAI’s transition into a for-profit, PBC, would “undermine” the firm’s mission to “develop and deploy … transformative technology in a way that is safe and beneficial to the public.”
They feel that a focus on profit would conflict with OpenAI’s ethical goals, and as we advance towards AGI, a non-profit firm would be “legally bound to prioritize safety and the public good” over revenue.
“OpenAI and its CEO, Sam Altman, are committed to developing society-transforming technology” so this “proposed restructuring into a for-profit enterprise would undermine that commitment.”
🤔 Why you should care: To add fuel to this fire, it was recently reported that OpenAI and Microsoft signed an agreement in 2023 stating that OpenAI will achieve AGI status when it’s able to create AI systems that generate at least $100B.
